1. Acceptance of Terms

By accessing or using Iodibase ("the Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use the Service.

SimsekLabs ("we", "our", "us") reserves the right to modify these Terms at any time. Continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

2. Service Description

Iodibase is a multi-tenant IoT infrastructure platform that provides device management, data storage, API endpoints, and integration capabilities for Internet of Things deployments.

The Service is provided "as is" and "as available" through our infrastructure hosted in the European Union. We reserve the right to modify, suspend, or discontinue any aspect of the Service with reasonable notice.

3. Accounts and Authentication

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring your account information is accurate and up-to-date

4. Plans and Billing

Iodibase offers multiple pricing tiers. By subscribing to a paid plan, you agree to:

• Provide valid payment information
• Pay all fees associated with your selected plan
• Allow automatic renewal unless you cancel before the billing cycle ends

Overage charges apply when you exceed your plan limits. Pricing and plan details are published on our website and may be updated with 30 days' notice.

5. Usage Limits and Fair Use

Each plan includes defined limits for devices, messages, storage, and team members. Exceeding these limits may result in:

• Automatic overage charges at published rates
• Service throttling during sustained overage
• Plan upgrade requirements for continued operation

You agree not to use the Service for any unlawful purpose or in any way that could damage, disable, or impair our infrastructure.

6. Data Ownership and License

You retain all ownership rights to your data, including IoT telemetry data, device configurations, and workspace settings. Iodibase does not claim any ownership interest in your data.

By using the Service, you grant Iodibase a limited license to process your data solely for the purpose of providing and improving the Service. We never sell, license, or share your data with third parties for marketing purposes.

7. Intellectual Property

The Iodibase platform, including its software, documentation, trademarks, and branding, is the intellectual property of SimsekLabs and is protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes. You may not reverse engineer, decompile, or create derivative works from the Iodibase platform.

8. Security Responsibilities

We implement industry-standard security measures to protect your data and infrastructure. However, security is a shared responsibility:

• We are responsible for platform security, infrastructure hardening, and data encryption
• You are responsible for device authentication, API key management, and access control within your workspace
• Both parties are responsible for promptly reporting security incidents

9. Limitation of Liability

To the maximum extent permitted by applicable law, Iodibase and SimsekLabs shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, business opportunities, or revenue
• Service interruptions due to maintenance, force majeure, or infrastructure failures beyond our control

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Termination

Either party may terminate the Service:

• You — at any time by canceling your subscription through the console or contacting support
• We — for material breach of these Terms, with 30 days' notice and opportunity to cure

Upon termination, you may export your data for 30 days. After that period, your data will be permanently deleted from our systems in accordance with our data retention policy.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of Norway, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through:

• Good faith negotiation between the parties
• Mediation in Oslo, Norway, if negotiation fails
• Binding arbitration or court proceedings in Oslo, as a last resort
